Corporate Governance

The CETGroup Board of Directors oversees the Chief Executive Officer and other senior management in the competent and ethical operation of the company on a day-to-day basis and assures that the long-term interests of stakeholders are being served.

The primary role of the board is to oversee how management serves the interests of stakeholders and investors while promoting the highest ethical standards and conduct throughout the group.

The Board is responsible for formulating, reviewing and approving the company's strategy, budgets, and corporate actions. Board meetings are held quarterly and at such other times as the Directors deem necessary.

The board is made up of experts from various fields including Engineering, Business, Finance, Project Management, etc. with the company’s core leadership consisting of middle and top-level managers with vast experience in the power and energy sectors.

The governance framework of CETEnergy consists of well-developed and adopted guidelines, formulated alongside the company’s articles of incorporation and bylaws. The governance structure is designed to foster principled actions, effective decision-making and appropriate monitoring of both compliance and performance.

The governance principles describe the board's relationship with stakeholders and executive management, the conduct of board affairs and the tasks and requirements for board committees. These principles outline the board's focus on activities that enable it to promote employee, customer, partners and stakeholders interests, including the active consideration of strategy, the monitoring of executive action and ongoing board and executive management succession.

The development of these principles helps CETEnergy fulfill its responsibilities and regularly keep its work and performance under review. As the group grows, more measures to further preserve, protect and nurture the essence of the business will be developed.

Employment and Employees

It is the policy of the company to equip all employees with the skills and knowledge essential for their work. This entails identifying the training needs of our employees and prioritizing implementation of plans to address such needs consistent with the requirements of the company’s business, programs and goals.

In order to maintain a shared perception of the company’s goals, the company is committed to effective and timely communication with it's employees. The company considers this critical to the maintenance of team spirit, high employee motivation, and morale.

Accountability and Audit

In line with adhering to global best practice, management ensures that standards are in accordance with the relevant legal framework within the countries in which we operate. Accounting records are kept; disclosing with reasonable accuracy at any time, the financial position of the group in compliance with the financial reporting standards of the country. This affords for the balanced reporting of the group’s position and financial prospects.
